Procedure for the selection and appointment of Casual Vacancies:
In the event of a casual vacancy the Board will adhere to procedures with the Constitution and By-Laws and identify the experience and skills appropriate for an appointee:
- upon identifying a potential appointee, specific consideration will be given to that candidate’s:
- competencies and qualifications;
- independence;
- other directorships and time availability; and
- the effect that their appointment would have on the overall balance and composition of the Board, the current skill set and diversity.
